Company name search

We will check that the company name is available before preparing the documents. In Switzerland, it is not possible to reserve a company name, so we will do our best to keep the incorporation time window from our side to a minimum.

Company purpose formulation

Every company needs to define its core activities before submitting the papers for incorporation.  We will work with you to prepare suitable wording that is likely to be accepted by the registry.

Incorporation documents

We will prepare the documents that need to be signed and then submitted to the authorities for your company incorporation.  This will minimise the effort required from your side.

Management of entire process

We are there to help you before, during and until the end of the process.  This will ensure that the process will run seamlessly from you placing the order to completing the company incorporation.

Capital deposit account

We are able to assist you with opening a bank account in order to deposit and temporarily block the capital for the company incorporation.  The certificate provided by the bank after this is done will be required as proof that needs to be shown to the notary when signing the documents.  Note that the bank may levy a one time fee for this account setup (typically around CHF 250).

Am I visible as a shareholder in my company?

When incorporating a LTD shareholders will not typically be visible online. If you the shareholders to remain off all public records, then we do offer a nominee shareholder service.

 

Can I incorporate an LTD company myself?

You can manage the process and prepare legal documentation yourself. However, you will still need to work with a notary, possibly also a lawyer, a bank representative and commercial register 'agents'. If you make arrangements with each party involved separately, it is likely to be more costly and take significantly longer then purchasing one of our package deal. Note also, that if you make a technical mistake in preparing the filing documents, you are quite likely to have to pay an additional filing fee at the Commercial Register Office.  Our Basic Package LTD (AG) requires minimum involvement from your side.

 

Do I need to bring cash to the bank for opening my Capital Deposit Account?

No. We would also not advise you to do so for security reasons. As soon as the Capital Deposit account is open, you can make a transfer from your ‘frozen’ account.

 

I know what my company will be doing. But how do I write a company purpose formulation correctly?
